TERMS AND CONDITIONS OF USE

FOR WEBSITE AND/OR MOBILE APPLICATION

These Terms and Conditions of Use ("Terms") constitute a binding legal contract between RUTOPÍA TURISMO BIOCULTURAL, S.A.P.I. DE C.V., its affiliates and/or subsidiaries, and/or its related parties (RUTOPÍA), who is the legitimate owner or authorized to market and use the Website (the "Site") with the electronic address https://RUTOPÍA.com/ and other offerings ("RUTOPÍA") with its registered office at Francisco Sosa 29, Colonia Del Carmen, Alcaldía Coyoacán, 04100, CDMX (the "Address"), and with contact email viaja@RUTOPÍA.com (the "Email"); and the person, physical or legal, who uses it. The use of the Site by any person attributes the status of RUTOPÍA Client, which implies full and unconditional adherence to these Terms.

Acceptance of the Terms

By accepting these Terms, the access and use of the Site are regulated, and they establish a contractual relationship between the Client and RUTOPÍA. If the Client does not accept these Terms and Conditions, they will not be able to access or use the Site. These Terms expressly replace any prior agreements or commitments made between the parties. RUTOPÍA may terminate these Terms or any of the Services immediately concerning the Client or, in general, cease offering or deny access to the Site or any part thereof at any time and for any reason unilaterally.

Purpose of Our Services

The Site is a technological tool whose primary purpose is to allow the User to search, request, and book tourist packages, which may or may not include accommodation, activities of all kinds, and travel experiences ("Services") provided by Communities, Tourist Service Providers, Authorized Third Parties (collectively "Authorized Third Parties") authorized by RUTOPÍA. It also offers informational services ("Content") about places and/or routes for ecotourism, information about tourist routes within the national territory, information about international tourist routes, and information about locations for ecological recreation. All information about the Services is provided by the Authorized Third Parties or people directly or indirectly related to them, so RUTOPÍA only facilitates the information and the commercial relationship between the User and Authorized Third Parties.

RUTOPÍA acts on behalf of the Authorized Third Parties, so it is not directly or indirectly obligated to execute the Service. When you hire the Services through RUTOPÍA, you are entering into a contract directly with the Authorized Third Parties that offer their Services through our Site. RUTOPÍA acts as an intermediary between the User and the Authorized Third Parties. RUTOPÍA, as a facilitator of the commercial relationship between the User and Authorized Third Parties, has no responsibility regarding the Services or the fulfillment of the commercial relationship between them.

Terms of Use

Travel Request: To access, search, and request any of the Services offered on the Site, the User must fill out a form in which they will be asked to provide information related to the trip or experience they wish to quote, such as name, phone number, sought Service, approximate date and duration of the trip, companions, region they would like to travel to, approximate budget for the trip, the type of experience they would like to find on their trip, and the country of origin. The requested information will be used so that RUTOPÍA Travel Consultants can design a tailor-made trip according to the provided specifications, selecting the best and most unique places.

Travel Design: Once we receive your Travel Request, a RUTOPÍA Travel Consultant will contact you within the next 24 hours via phone calls, text messages, or email (we recommend checking the Spam or Promotions folder if you do not receive it) to confirm the provided information and design your trip.

Travel Itinerary: Our Travel Consultant will send a travel itinerary containing all the information related to the requested trip, such as dates, accommodations, description of accommodations, activities, transportation, extras, applicable terms and conditions of the quote, everything included and not included in the service, as well as costs, rates, and payment conditions.

Service Quotation: The prices and rates will be stipulated in the travel itinerary and will be valid for up to 30 days after sending the final itinerary proposal. This is only a quote and a suggested program. If the quoted hotels are not available at the time of booking, similar hotels will be reserved, and prices may be subject to change. Travel itineraries requested during high season will have a validity and term of 1 day.

Service Costs: When booking a Service, the User agrees to pay all charges for their reservation, including the price, taxes, applicable fees, RUTOPÍA service commission, and other elements identified during the payment process (collectively, the "Total Price"). RUTOPÍA may charge the User a commission for the provided Services. If applicable, the commission will be equivalent to X% plus VAT of the total value of the Service reservation. This commission will apply to effective reservations as well as cancellations where a penalty applies to Users. The commission is fixed. Unless otherwise provided, the commission is non-refundable. RUTOPÍA reserves the right to modify the commission amount at any time.

Payment Methods: Users can make payment for their travel itineraries using credit cards, debit cards, authorized convenience store payments, and through Apple Pay or PayPal.

Billing Process: In all cases, RUTOPÍA will issue the corresponding electronic invoice for its services following the fiscal information provided by Users. If you do not receive your electronic invoice, please request it at the following email: finanzas@rutopia.com, where you should include your billing information (RFC, address, phone number, payment method, CFDI use).

Changes after Booking and Cancellations: If you wish to make changes to the trip after booking, you must notify your Travel Consultant in writing to review the possibility of these changes, especially regarding the availability of the Services. We reserve the right to charge a processing fee of $25 USD for changes after receiving the invoice. We do not charge any change fee for booking additional tours.

Cancellations: Users have the option to cancel the reservation up to 24 hours after completing the formal reservation process. After that, the trip is considered bindingly booked according to the offer. If there are circumstances that make you want or need to cancel the trip, you will find the cancellation conditions in our general terms and conditions. In any case, we ask that you inform us in writing.

If Users cancel the trip after formalization, they must pay a compensation fee to RUTOPÍA for management expenses and to Authorized Third Parties as specified below: Unless otherwise stated in your quote or trip datasheet, the following scale will apply: cancellation between 21 and 15 calendar days before the start date of the trip: 30% of the total trip amount. Between 14 and 8 calendar days before the date: 70% of the total amount. Between 7 calendar days before the date until the start date: 100% of the total amount.

The above penalties and compensations will not apply when the client substitutes another person in their place, provided that the Authorized Third Parties do not prevent it and the modification is made more than 5 calendar days before the departure date. In this case, RUTOPÍA must be compensated with 5% of the total trip price in addition to the expenses incurred for making the substitution.

Cancellation and Change Policies for Each Service: In addition to these Terms, the User will be subject to the particular terms and conditions of the Authorized Third Party, so we advise you to review them directly as you will be subject to them and responsible for complying with the reservation terms. Each Service selected by Users to complete their travel experience is governed by its own change and cancellation conditions established by each Authorized Third Party, and the modification and/or cancellation of a Service does not affect the other contracted Services, which will be governed by their own conditions and must be modified and/or canceled individually, provided that the conditions of the Authorized Third Party allow it.

By agreeing to register your email in our Newsletter, the User explicitly authorizes us to send information, travel tips, suggestions about experiences, stories of local heroes, etc.

General Terms

Contractual Use of the Application: By these Terms, RUTOPÍA authorizes and grants the use and enjoyment of 1 (one) license to use the Site for personal use, which implies registration and access to it. This grant is made on an "as is" basis, temporary, non-exclusive, non-commercializable, and non-sublicensable, for the acquisition of the products offered on it.

Requested Information: Clients acknowledge and accept that, to fulfill the Site's purpose, RUTOPÍA must collect personal and sensitive personal data to include it in formats, lists, databases, or other physical, digital, and/or electronic means to carry out the proper registration of the same and offer the Products and Services. RUTOPÍA is not responsible for the consequences that may arise from the omission, conscious or unconscious, by the Clients in this regard. For this reason, by accepting these Terms, Users expressly waive the right to present any claim, lawsuit, legal action, or procedure before any Mexican or foreign authority against RUTOPÍA, as well as any person related and/or affiliated with RUTOPÍA, including, without limitation, directors, attorneys-in-fact, representatives, administrators, employees, shareholders, and/or agents, present or former, for any act arising or that may arise from the use of the Site and the Services or any service derived from such use.

Personal Information: In compliance with the terms provided in the LFPDPPP, RUTOPÍA, as responsible for the processing of your personal data, informs Clients that the information provided on this site will be treated in accordance with the Privacy Notice contained on the Site. To know the terms of use of personal data that we have, the Client can consult the notice on the Site.

Intellectual Property: RUTOPÍA and/or its suppliers are the owners of all intellectual property rights of the Site, including, without limitation, the rights to the Site's software, graphics, logos, service marks, trademarks, domain names, titles, text, images, designs, music, sound, photographs, videos, audiovisual material, and content (collectively, the "Intellectual Property"). Users are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. This license is subject to these Terms and does not permit Users to reproduce, distribute, publicly perform, publicly display, modify, create derivative works of, or otherwise exploit any of the Intellectual Property without RUTOPÍA's prior written consent.

Modifications to the Terms

RUTOPÍA reserves the right to modify these Terms at any time, without prior notice, by posting the modified Terms on the Site. The continued use of the Site after the posting of the modified Terms will constitute the User's acceptance of the modified Terms. It is the User's responsibility to review these Terms periodically to stay informed of any changes.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Mexican States, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the use of the Site shall be resolved exclusively in the courts of Mexico City.
